Terms of Service

1. Acceptance of terms

By creating an account or using the Verdaxi service ("Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

Verdaxi provides a software-as-a-service compliance and operations platform for licensed cannabis operators. We may modify, expand, or discontinue features over time. Material changes that adversely affect your use of the Service will be communicated reasonably in advance.

3. Accounts and access

You are responsible for: (a) maintaining the confidentiality of your account credentials, (b) all activity that occurs under your account, and (c) ensuring that users you grant access to your organization's account are authorized to act on your behalf.

4. Acceptable use

Your use of the Service is governed by our Acceptable Use Policy, incorporated here by reference.

5. Customer data

You retain all rights to data you submit to the Service ("Customer Data"). You grant Verdaxi a limited license to host, process, and display Customer Data solely as necessary to provide the Service. We will not access Customer Data except to provide the Service, respond to support requests, comply with law, or detect/prevent abuse.

6. Confidentiality

Each party will protect the other's confidential information using reasonable care, and will not disclose it to third parties except as necessary to perform under these Terms.

7. Fees and payment

Subscription fees are set forth in your order or on our pricing page at the time of purchase. Fees are payable in advance and non-refundable except as required by law. Late payments accrue interest at the lesser of 1.5% per month or the maximum permitted by law.

8. Term and termination

These Terms remain in effect while you use the Service. Either party may terminate for material breach upon 30 days' written notice and a failure to cure. Upon termination, your access ceases; we will make Customer Data available for export for at least 30 days after termination.

9. Warranties and disclaimers

The Service is provided "as is" without warranties of any kind, express or implied, except as expressly stated in a written agreement signed by an officer of Verdaxi. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific compliance requirements.

10. Limitation of liability

To the maximum extent permitted by law, Verdaxi's aggregate liability for any claim arising from or relating to these Terms or the Service is limited to the fees paid by you in the 12 months preceding the claim. Neither party is liable for indirect, consequential, special, or punitive damages.

11. Indemnification

Each party agrees to indemnify the other against third-party claims arising from its breach of these Terms or violation of applicable law.

12. Compliance is your responsibility

Verdaxi provides tools to help you maintain regulatory compliance. We do not provide legal advice. You are responsible for ensuring your operations comply with all applicable laws and regulations. Use of the Service does not guarantee any specific compliance outcome.

13. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflicts-of-law rules. Disputes will be resolved in the state and federal courts located in Wilmington, Delaware.

14. Changes to these Terms

We may update these Terms from time to time. We will provide reasonable notice (typically 30 days) of material changes via email or in-app notification. Continued use after the effective date constitutes acceptance.
